These Terms of Use (“Terms”) govern your access to and use of Matvan Inc.’s software products and services, including Vetter+ (the “Services”).

1. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Use of the Services

You agree to:

• Provide accurate, current, and complete information

• Use the Services only for lawful purposes and in compliance with applicable laws and regulations

• Not interfere with or disrupt the integrity or performance of the platform

• Not attempt to gain unauthorized access to any systems, accounts, or data

 

3. Accounts

You are responsible for:

​

• Maintaining the confidentiality and security of your account credentials

• All activities that occur under your account

 

Matvan Inc. reserves the right to suspend, restrict, or terminate accounts that violate these Terms or that may pose a risk to the platform, users, or third parties.

4. User Content

​

You retain ownership of any content, materials, or information you submit through the Services (“User Content”).
 

By using the Services, you grant Matvan Inc. a limited, non-exclusive, worldwide, royalty-free license to store, process, reproduce, and display User Content solely as necessary to provide, maintain, and improve the Services.
 

You represent and warrant that you have all necessary rights to submit User Content and that such content does not violate any applicable law or third-party rights.
 

5. Platform Role
 

Matvan Inc. provides software tools and workflow management services, including application collection, evaluation, collaboration, and related operational processes.
 

Matvan Inc. does not make employment, hiring, admissions, or evaluation decisions on behalf of users and is not responsible for outcomes resulting from the use of the Services.
 

6. Payments & Subscriptions
 

Certain features or portions of the Services may require payment or subscription fees.
 

By purchasing a subscription, you agree that:
 

• Subscription fees may renew automatically unless canceled prior to the renewal date

• You authorize recurring charges using your selected payment method

• Fees are non-refundable except where required by applicable law

• Payments are processed by third-party payment providers, such as Stripe, and are subject to their applicable terms and policies

Matvan Inc. is not responsible for payment processing errors caused by third-party providers.

7. Termination
 

We may suspend or terminate your access to the Services at any time, with or without notice, if:
 

• You violate these Terms

• Required by law or legal process

• Necessary to protect the security, integrity, or operation of the platform or its users
   

Upon termination, your right to use the Services will immediately cease.

8. Disclaimer of Warranties
 

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATVAN INC. DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
 

9. Limitation of Liability
 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MATVAN INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, PROFITS, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THE USE OF THE SERVICES.
 

IN NO EVENT SHALL MATVAN INC.’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO MATVAN INC. DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
 

10. Changes to Terms
 

Matvan Inc. reserves the right to modify or update these Terms at any time.
 

Updated Terms will become effective upon posting. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
 

11. Governing Law & Dispute Resolution
 

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
 

Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
